Mr. Cragg represents private and public businesses, entrepreneurs, investors, and philanthropists in the full lifecycle of a business. He counsels his clients on mergers and acquisitions (M&A), equity and debt securities offerings (including private placement memoranda) and other emerging company and venture capital issues, entity type selection, intercompany agreements, commercial agreements, master service agreements, joint venture agreements, employment and independent contractor services agreements, technology agreements, corporate governance, and executive compensation agreements. He also handles a range of corporate real estate agreements, such as purchase and sale contracts, corporate leases and related agreements. Mr. Cragg has extensive experience in internet-related agreements and policies, including master service agreements with app developers, terms of use/terms of service, privacy policies, and data breach response policies. His clients include startups, emerging growth and mature companies in the app development, chemical distribution, commercial real estate, and digital marketing industries. Mr. Cragg received his J.D. from Loyola Law School, Los Angeles and his B.A. from the University of California, Los Angeles.
